Kane County Senior Resources Bylaws
Article I – Purpose
The purpose of the Kane County Senior Service Providers (KCSR) is as follows:
In an effort to enhance the dignity and independence of seniors, and to improve the quality of life
for seniors in Kane County, the Senior Service Providers (KCSR) will cooperatively plan for new program development, advocate for the rights of seniors, work toward appropriate legislation and provide community education. The group will exchange and engage in coordination by providing a forum for the exchange of information through regular meetings.
Article II – Membership
A. Membership is open to any person interested in promoting the purpose of said organization, and who serves Kane County seniors in an employed or volunteer capacity.
B. Interested parties are invited to attend up to two meetings without joining KCSR, and will be ineligible to votes during those meetings.
C. The membership year runs from July 1 through June 30. January 1 through December 31. Any member who joins after January July1 will be charged half the annual membership dues.
D. A schedule of annual dues shall be proposed by the officers annually by March September1st. Dues are payable to the Treasurer no later than June 30th. December 31.
E. A member who has not paid current dues by November March1 will be dropped from membership after written notification from the Membership Chair.
F. A member who resigns in good standing (dues paid up to date) may re-apply for membership at any time.
G. Memberships belong to the business or organization (vs individual) unless otherwise specified. Up to two representatives from that business may be included in the email blasts and attend meetings/events but each membership gets only one vote. A separate membership is required for each listing in the directory.
H. An individual who is not employed, and wishes to join KCSR, will be charged half of the annual (business) membership dues and will not be listed in the directory.
Article III – Officers
A. The officers shall consist of President, Vice President, Secretary, Treasurer and Membership Chair. All of these need to be voting members. Officers are expected to attend meetings or submit their report for review and to be in communication with each other. Effective with elections for the calendar year 2002, the President will serve on the Executive Board for one year after leaving the office of President. The Vice President elected for 2002 and later years shall be the President Elect for the following year.

B. The President assumes all duties normally associated with that office including presiding over
meetings, appointing committee heads, and signs checks over $500.00 with the Treasurer.
C. The Vice-President shall be responsible for arranging programs and breakfast sponsors for the general meetings and in the absence of the President shall perform the duties of the President.
D. The Secretary shall take minutes of the proceedings of all meetings and shall distribute the minutes and other announcements to the membership via e-mail. The Secretary is also responsible for keeping the website up dated and posting monthly meeting minutes.
E. The Treasurer shall keep accurate accounts of all monies received and disbursed, makes monthly financial reports to the membership, and signs all checks (checks exceeding 500.00 will be cosigned with the President.)
Kane County Senior Resources
1. Audit Committee consisting of no less than 2 members and the Treasurer will review the financial records every two years, beginning in 2010.
F. The Membership Chair will work with the Treasurer to maintain an accurate list of current members and their service areas, and will assist in be responsible for the development of Membership Directory. The Membership Chair will arrange for updates regarding current membership on the website.
G. Any officer may resign at any time by giving written (notice) to other officers or the membership at large. Any such resignation shall take effect at the time specified therein. If the President resigns the Vice-President will assume the presidency. In the event of the resignation of another office, the officers will appoint an interim replacement until the next election.
H.Officers are entitled to either one free year of membership or the equivalent in a gift card in exchange for their time and money spent performing the duties of the office. This will be done after they have held the office for six months. This will begin with officers elected to begin serving in January 2015.
Article IV – Elections
A. A nominating committee of at least three members of the organization shall be formed at least 45 days prior to the annual meeting. They shall submit names of candidates for office to the President approximately 30 days prior to the annual meeting for election of officers.
B. Elections with a single slate of officers may be by show of hands or voice note. Elections with more than one candidate for an office shall be by secret ballot.
C. Officers shall be elected for a term of one year and may not serve more than three years. Officers terms shall be staggered so that the entire board does not turn-over all at once. Officers shall take office in January.
Article V – Meetings
A. Meetings are held monthly on the second Thursday of the month.
B. Meetings are located at the agencies of various members or public meeting places as determined by the membership.
C. A majority of attendees who are members shall constitute a quorum for the transaction of business at any meeting. Each membership shall have one vote.
D. The annual meeting shall be held each November.
Article VI – Amendments
A. Bylaws may be amended by a vote of two thirds of the members in attendance at any meeting
designated for that purpose. Copies of proposed amendments shall be given members in writing or via computer at least two weeks prior to the meeting.
B. The bylaws shall be reviewed at least every three years or more frequently if deemed necessary by the officers.
Article VII – Should the organization be dissolved, all material possessions and monies of the organization will be given to the Northeastern Illinois Area Agency of Aging.
